§ 3. Nature of sales

  3. The Buyer must provide correct identification details, including the company name, address and VAT number (NIP).
  4. Provisions of the GTS that limit or exclude the Buyer's rights do not apply to the extent that a Buyer who is a Sole trader with consumer rights is entitled to mandatory rights under the law.
  5. The Seller may verify whether the agreement concluded is of a professional nature for a natural person conducting business activity, in particular on the basis of the business activity disclosed in CEIDG.

§ 4. Type and scope of Products offered

The Seller's offer includes in particular:

  • display and fabric walls,
  • exhibition systems,
  • modular systems,
  • exhibition stands,
  • counters and promotional stations,
  • roll-ups and banners,
  • advertising flags,
  • backlit and LED systems,
  • large-format prints,
  • exhibition accessories,
  • graphic and spatial design services,
  • printing services,
  • assembly and disassembly services,
  • transport,
  • rental of display systems and stand elements.
  1. The scope of a specific order is determined by the Product description, the configuration made by the Buyer, the accepted offer, design, specification or order confirmation.
  2. In the event of any discrepancy between the GTS and an individually agreed offer accepted by the Seller, the terms of the individual offer prevail.

§ 5. Information presented in the Shop

  1. Information, descriptions, visualisations, price lists and other materials published in the Shop do not constitute an offer within the meaning of the Civil Code, unless expressly stated otherwise.
  2. Information presented in the Shop constitutes an invitation to place orders or conclude an agreement.
  3. Photos, visualisations, renders, 3D models and Product presentations are for illustrative purposes. The actual appearance of the Product may differ slightly from that presented, provided this does not affect its basic properties and compliance with the agreed specification.
  4. Colours shown on screen may differ from the colours of the finished print, in particular due to:
  • monitor settings and type,
  • the file colour space,
  • printing technology and profile,
  • type of substrate,
  • type of lighting,
  • permissible differences between production batches.
  1. The Seller may make structural, technical or material changes resulting from Product upgrades or changes on the part of the manufacturer or supplier, provided they do not materially change the agreed purpose of the Product.

§ 6. Placing orders

  1. Orders can be placed:
  • via the Shop,
  • via the contact form or enquiry form,
  • electronically to the Seller's email address,
  • on the basis of an individual commercial offer,
  • in another way agreed by the parties.
  1. The Buyer must provide complete and truthful data necessary to fulfil the Order.
  2. The Seller may suspend the acceptance or fulfilment of an Order if:
  • the Buyer's data are incomplete or raise reasonable doubts,
  • not all Product parameters have been specified,
  • the required materials have not been supplied,
  • the design has not been approved,
  • the required payment has not been made,
  • fulfilment of the Order is impossible for technical, legal or material reasons.
  1. An automatic message confirming receipt of the Order does not mean it has been accepted for fulfilment, unless the content of the message states otherwise.
  2. The Agreement is concluded when the Seller confirms acceptance of the Order for fulfilment or otherwise unambiguously confirms agreement on the subject, price and terms of fulfilment.
  3. For a Custom product, concluding the Agreement or starting fulfilment may additionally require approval of the design, specification, visualisation or sample and payment of the agreed amount.
  4. The Seller may refuse to fulfil an Order before accepting it, in particular when the Product is unavailable, an obvious pricing or technical error has occurred, or fulfilment would breach the law or third-party rights.

§ 7. Prices

  1. Product prices are given in Polish zloty (PLN), unless the offer states otherwise.
  2. Prices shown to businesses are net prices, unless it is expressly stated next to the price that it is a gross price.
  3. VAT is added to the net price at the rate applicable at the time the tax obligation arises.
  4. The Product price does not include delivery, assembly, disassembly, special transport, carrying in, design or other additional services, unless the Product description or accepted offer expressly states otherwise.
  5. The total value of the Order, known additional costs and the VAT due are shown in the Order summary or in the individual offer.
  6. The Seller may change Product prices. Such a change does not affect the price of an Order already accepted for fulfilment, except for changes to the Order made later by the Buyer.
  7. In the event of an obvious pricing error which a Buyer acting reasonably could not have considered the correct price, the Seller will inform the Buyer of the error and propose fulfilment at the correct price. If this is not accepted, the Order will be cancelled and any payment received will be refunded.

§ 8. Payments

  1. Available payment methods are shown in the Shop, when placing the Order or in the individual offer.
  2. Depending on what is agreed, payment may be made in particular:
  • by bank transfer,
  • via an electronic payment operator,
  • on the basis of a pro forma invoice,
  • on the basis of a VAT invoice with a deferred payment date, if the Seller has granted the Buyer such a limit or term,
  • in another agreed way.
  1. The Seller may make the start of fulfilment conditional on receiving the full price or an agreed advance or prepayment.
  2. For payment by bank transfer, the payment date is the date the Seller's bank account is credited.
  3. The Buyer must pay the amount due by the date indicated in the Order, offer, pro forma invoice, VAT invoice or other settlement document.
  4. In the event of late payment, the Seller may:
  • suspend the start or continuation of the Order,
  • postpone the delivery date accordingly,
  • charge statutory interest for late payment in commercial transactions, where applicable,
  • claim the compensation due and debt recovery costs in accordance with applicable law.
  1. The Buyer may not set off its own claims against the price without the Seller's prior consent, unless they are undisputed, confirmed by a final judgment or mandatory law provides otherwise.

§ 9. Products made to order

  1. A significant proportion of the Seller's Products are made to the Buyer's individual specification.
  2. Custom products include in particular Products:
  • with an individual print, graphic, name or logo,
  • made to dimensions specified by the Buyer,
  • made to an individual design,
  • with a non-standard configuration, equipment or colour,
  • produced, modified or sourced specifically for the Buyer.
  1. Once production has started, cancelling or changing the Order may not be possible.
  2. If the Seller agrees to cancel or change the Order after fulfilment has started, it may charge the Buyer the justified costs of work performed, production preparation, materials purchased, subcontractor services and other activities carried out up to the time of the change or cancellation.
  3. The Seller is not obliged to accept the return of a correctly made Custom product, subject to the mandatory rights of a Sole trader with consumer rights.

§ 10. Designs and materials supplied by the Buyer

  1. The Buyer must supply materials that are complete, technically correct and consistent with the specification provided by the Seller.
  2. The Buyer is responsible in particular for:
  • correctness of texts, names, addresses and contact details,
  • correct dimensions and proportions,
  • quality and resolution of graphics,
  • the correct colour space and colour profiles,
  • bleeds and safety margins,
  • correctness of QR codes, barcodes and links,
  • holding the rights to use the materials supplied.
  1. The Seller may carry out a basic technical check of files but is not obliged to proofread, check the substance or verify the content in detail, unless the parties have agreed such a Service.
  2. The Seller may refuse to use materials that:
  • are unlawful,
  • infringe the rights of third parties,
  • are unlawful, offensive or discriminatory,
  • do not meet the technical requirements necessary to fulfil the Order.

§ 11. Design approval

  1. If fulfilment requires approval of a design, visualisation, mock-up, sample or specification, production may only begin after the Buyer has approved them.
  2. Approval may be given by email, via a form, the Shop panel or in another agreed way.
  3. Before approval, the Buyer should check all elements of the design, in particular texts, data, dimensions, layout, proportions, colours and placement of graphics.
  4. Design approval means:
  • confirmation that it complies with the Order,
  • consent to start production,
  • completion of the Buyer's design verification stage.
  1. The Seller is not liable for errors visible in an approved design that the Buyer could have detected with due care, in particular typos, incorrect data, wrong phone numbers, addresses, dates or placement of elements.
  2. Changes requested after design approval require the Seller to confirm they are possible and may result in additional costs and a change to the lead time.

§ 12. Lead time

  1. The lead time given in the Shop, correspondence or offer is an estimated time, unless the Seller has expressly confirmed it as a guaranteed date.
  2. The lead time is calculated from the fulfilment of all conditions necessary to start work, in particular from:
  • acceptance of the Order by the Seller,
  • receipt of the required payment,
  • receipt of complete materials,
  • approval of the design,
  • final confirmation of the specification.
  1. A delay by the Buyer in performing any of the above actions postpones the lead time accordingly.
  2. A change to the Order may result in the lead time being set again.
  3. The Seller will inform the Buyer of any significant delay it is aware of and, where possible, indicate the expected new date.

§ 13. Delivery and receipt

  1. Delivery may be made by a courier company, carrier, freight forwarder, the Seller's own transport or in another agreed way.
  2. The cost of delivery is borne by the Buyer, unless the offer or Order summary states otherwise.
  3. The Buyer must provide a complete and correct delivery address and the details of the person authorised to receive the delivery.
  4. Additional costs arising from an incorrect address, the recipient's absence, refusal to accept delivery or the need for redelivery may be charged to the Buyer.
  5. On receipt of the shipment, the Buyer should check:
  • the condition of the packaging,
  • the number of parcels or items,
  • visible damage,
  • that the delivery matches the transport documents.
  1. If damage is found, we recommend:
  • taking photos of the shipment and packaging,
  • drawing up a damage report with the carrier,
  • keeping the packaging and protective materials,
  • informing the Seller without delay.
  1. The absence of a damage report does not automatically exclude the possibility of filing a complaint, but it may make it harder to determine the time, cause and extent of the damage and to pursue claims against the carrier.
  2. If personal collection has been agreed, the Buyer should collect the Order at the agreed time after being notified that it is ready.

§ 14. Transfer of risk and retention of title

  1. In relations between the Seller and a Buyer who is not a Sole trader with consumer rights, the benefits and burdens associated with the Goods and the risk of their accidental loss or damage pass to the Buyer when the Goods are handed over to the Buyer or to the carrier to whom the Seller entrusted the Goods for delivery to the Buyer.
  2. For a Sole trader with consumer rights, risk passes in accordance with mandatory provisions of law.
  3. Title to the Goods passes to the Buyer after payment of the full amount due under the Agreement, if such a reservation is effective under applicable law.
  4. Until the full price has been paid, the Buyer should store the Goods in a way that allows them to be identified and should not take any action that would infringe the Seller's rights arising from the retention of title.

§ 15. Complaints from business customers

  1. This section applies to Buyers who are businesses, excluding Sole traders with consumer rights to the extent covered by their special statutory protection.
  2. The Buyer should inspect the Goods promptly after receipt, in the manner customary for goods of this kind.
  3. Visible defects, shortages and damage should be reported to the Seller promptly after they are discovered.
  4. Complaints should be sent to:

info@maxiexpo.pl

Where possible, a complaint should include:

  • the Buyer's details,
  • the Order or sales document number,
  • identification of the Product concerned,
  • a description of the defect or non-conformity found,
  • the date it was discovered,
  • photographic or video documentation,
  • information on how you would like the complaint to be resolved.
  1. The Seller may ask for additional information, for the Product to be made available for inspection or for it to be sent to a specified location.
  2. The Buyer should not return the Product without first agreeing the shipping method and address with the Seller.
  3. If a complaint is justified, the Seller may, as agreed by the parties and depending on the type of defect, in particular:
  • repair the Product,
  • replace the Product or its defective part,
  • perform the missing part of the service,
  • reduce the price,
  • refund the appropriate part of the amount due.
  1. Statutory warranty for defects (rękojmia) towards Buyers who are not Sole traders with consumer rights is excluded to the fullest extent permitted by law.
  2. The exclusion of statutory warranty does not apply if the Seller fraudulently concealed the defect, or in other cases where exclusion of liability is not permitted.

§ 16. Complaints from Sole traders with consumer rights

  1. Provisions granting consumer protection apply to a Sole trader with consumer rights to the extent provided by applicable law.
  2. In particular, provisions excluding or limiting the Seller's liability do not affect such a Buyer's statutory rights relating to the Goods' lack of conformity with the agreement.
  3. A complaint can be submitted to:

info@maxiexpo.pl

  1. A complaint should include details that identify the Order, a description of the problem and the Buyer's request. Attaching photos may speed up the process but is not a strict condition for accepting the complaint.
  2. The Seller will handle the complaint within the time limit set by applicable law.

§ 17. Warranty

  1. Goods are covered by a guarantee only if a guarantee statement from the Seller, manufacturer or other guarantor is attached to the Goods or information about the guarantee is expressly included in the Goods description or offer.
  2. The scope, period, territory and method of exercising guarantee rights are set out in the guarantee statement.
  3. The absence of a guarantee statement means that the Seller has not granted a separate contractual guarantee.
  4. The guarantee does not exclude rights that cannot be excluded under mandatory provisions of law.

§ 18. Withdrawal from the Agreement and returns

  1. A Buyer who is a business and not a Sole trader with consumer rights does not have a statutory right to withdraw from a distance Agreement without giving a reason.
  2. The return of correctly made Goods by a Buyer referred to in section 1 requires the Seller's prior, express consent and agreement of the return terms.
  3. A Sole trader with consumer rights may have the right to withdraw from a distance Agreement within the time limit and on the terms set out in the Polish Consumer Rights Act.
  4. The withdrawal statement can be sent to:

info@maxiexpo.pl

  1. The right of withdrawal does not apply in cases specified by applicable law, in particular in relation to an Agreement for non-prefabricated Goods made to the Buyer's specification or to meet their individual needs.
  2. The exclusion referred to in section 5 may cover in particular Products:
  • with a custom print,
  • made to measure,
  • made according to an approved design,
  • with an individual configuration,
  • produced or modified specifically for the Buyer.
  1. If the Buyer requests that performance of a Service begin before the end of the withdrawal period, they must make the statements required by law. In the event of effective withdrawal after performance of the Service has begun, they may be required to pay for the services provided up to the time of withdrawal.
  2. Detailed information on the statutory right of withdrawal and a model withdrawal form should be made available to an eligible Buyer before the Agreement is concluded.

§ 19. Assembly, use and storage

  1. The Buyer must use the Product in accordance with its purpose, specification, instructions and safety rules.
  2. If assembly is not carried out by the Seller, the Buyer is responsible for the correct assembly, fixing, loading and securing of the structure.
  3. Products intended for indoor use should not be used outdoors, unless their specification clearly permits such use.
  4. The Buyer should take into account the conditions at the place of use, including wind, ground, temperature, humidity, foot traffic and the rules applicable at the venue or event.
  5. Products should be stored and transported in a way that protects them from moisture, dirt, excessive temperature, deformation and mechanical damage.
  6. The Seller is not liable for damage caused by improper assembly, use, storage or transport by the Buyer or third parties.

§ 20. Copyright and third-party rights

  1. The Buyer declares that they hold the rights, licences, permits and consents required to use all materials provided to the Seller.
  2. The Buyer is responsible for the content of the materials provided and for any infringement resulting from their use of:
  • copyright,
  • trademark rights,
  • image rights,
  • personal rights,
  • trade secrets,
  • other third-party rights.
  1. If a third party raises claims relating to materials provided by the Buyer, the Buyer must cooperate with the Seller to clarify the matter and, to the extent permitted by law, cover justified damages and costs resulting from an infringement for which the Buyer is responsible.
  2. The economic copyright to designs, visualisations, layouts, models, documentation and other works prepared by the Seller remains with the Seller, unless a separate agreement provides otherwise.
  3. Payment for making a Product does not automatically mean the transfer of economic copyright or the release of source or editable files.
  4. The transfer of rights, granting of a licence and release of source files require a separate agreement.

§ 21. Seller's liability in B2B relations

  1. This section applies to Buyers who are businesses, excluding Sole traders with consumer rights to the extent covered by their statutory protection.
  2. The Seller is liable only for actual damage that is a normal consequence of culpable non-performance or improper performance of the Agreement.
  3. To the extent permitted by law, the Seller is not liable for:
  • lost profits,
  • lost orders or contracts,
  • downtime or interruption of the Buyer's business,
  • loss of data, reputation or business opportunities,
  • indirect and consequential damages,
  • acts or omissions of carriers, suppliers and other entities independent of the Seller, unless the Seller is responsible for selecting them.
  1. The Seller's total liability under a given Order is limited to the net value of the part of the Order to which the claim relates, unless such a limitation is not permitted under mandatory provisions of law.
  2. The limitations of liability do not apply to damage caused intentionally or in other cases where liability cannot be effectively excluded or limited.

§ 22. Force majeure

  1. The Seller is not liable for non-performance or delayed performance of the Agreement caused by force majeure or another event beyond its reasonable control.

  • failures of machinery, infrastructure or IT systems that could not have been avoided with due care,
  • significant supply chain disruptions,
  • unavailability of materials or components for reasons beyond the Seller's control.
  1. The lead time is extended by the duration of the obstacle and the time needed to resume work.
  2. If the obstacle is long-lasting and prevents performance of the Agreement, the parties may agree to change the Order or terminate it, settling the services performed and justified costs incurred up to that time.
